At V.G. Diaz & Associates, we can help. While there is no such thing as the perfect business, a business broker knows the importance of finding the right fit, and they have the experience to help you find a business that will meet your needs, skills, and lifestyle.
This is often the first question we get asked from a business owner considering selling. Ultimately, the value of your business is determined by what a willing and able buyer will pay for your business in today’s market.
At V.G. Diaz & Associates, we can help. We use multiple methods to determine the Fair Market Value of your business from our initial consultation and a confidential review of your business financials in what is called a Broker’s Opinion of Value Report. This report will give you a Most Probable Sales Price range for your business in today’s market.
Understanding What Your Business is Worth
A Broker’s Opinion of Value (BOV) is a special limited appraisal or business valuation used to estimate the economic value of an owner’s interest in a business. A BOV is a broker’s opinion of what a business may sell for, based upon his/her personal analysis, industry expertise, knowledge of local markets and lending, and comparable past sales.
Why use a Broker’s Opinion of Value?
An experienced business broker should be able to deliver a Broker’s Opinion of Value that articulates a realistic Most Probable Sales Price (MPSP) range. The BOV provides a business seller with expectations on what the business may sell for, given the intended pool of potential buyers, at that given time. BOV’s are performed by Professional Business Brokers and are not a formal business valuation as performed by a Certified Public Accountant (CPA) or Certified Business Appraiser (CBA). However, since Business Brokers are the most in tune with the current market and interact daily with buyers and sellers, a BOV gives a business owner the most realistic expectation as to what their business is worth and what their business will sell for in today’s market!
What is Needed for a Business Valuation?
After an initial consultation, we will need the following information to review in the preparation of a Broker’s Opinion of Value (BOV) Report.
- Company Name – Name of Legal Entity
- Company Address – Physical Address and Mailing Address (if different from physical address)
- Shareholders – Names and % Ownership Shares of All Owners/Shareholders
- Industry – Industry Description/NAICS Code
- Tax Returns – Most recent 3 years of Business Tax Returns
- Income Statements (aka Profit and Loss (P&L) Statements) – Most recent 3 years of P&L Statements and a Current YTD P&L Statement
- Balance Sheets – Most recent 3 years of Balance Sheets and a Current YTD Balance Sheet
- Furniture, Fixtures, and Equipment (FF&E) List – machinery, vehicles, office equipment (computers, desks, chairs, phones, printers), etc. with associated estimated fair market value for each (not book value or depreciated value, but an estimated replacement value for a like piece of equipment or sale price value if you sold each item)
- Inventory/Work In Process List (INV/WIP) – any inventory and raw materials (at cost), and any Work in Process, if applicable (at cost for materials and labor)

Commercial Real Estate Services
Operation and oversight of commercial property operations. Yet, in many ways, effective property management is key to the overall success of a building, leading to satisfied tenants, happy owners, and, in turn, higher values. And it’s one of those specialized areas where you really do need the advice of one of our commercial professionals to assist you whenever you are wanting the management of any type of properties. The professional commercial property managers at V.G. Delivering insightful data that is relevant to client’s local market and business needs. Market research is a combination of primary information, that is, information obtained directly, or secondary information, which has already been gathered. It is necessary to undertake detailed market research, for example, when planning a new real estate project or contemplating moving offices, or opening a new store. Our professional commercial property researchers will study the various aspects of the target market and produce a market study report. This will be a pro-active analysis of market demand for a proposed property or buildings in a certain location, looking at all of the factors involved in the market that influence the demand and/or supply including price, rental, location, competition, alternatives, and overall general economic activity.
Landlord & Tenant Representation
Facilitate the lease or sale transaction between a tenant and landlord. Many of these parties are not experts in real estate or simply do not have time to deal with matters relating to property. They ideally need to spend more time on their core business, making sure it is operating effectively or planning for future business growth expansion. This is where landlord or tenant representation comes in. By representing one of the parties in a transaction, either the landlord or tenant, V.G. Diaz & Associates can facilitate a lease or sale between a tenant and landlord or buyer and seller, making sure the process runs smoothly and that their client gets the best advice. So, no matter whether you are a landlord or tenant, seller or buyer, our professional commercial property advisors can represent you to make sure you get the most favorable terms and conditions from the deal you are involved in. We can act for the landlord or the tenant; it really just depends on the situation.
Valuation & Advisory
Determining the optimal and best use for a property with supporting analysis to determine value. Before undertaking a valuation it's necessary to know the purpose, i.e. year-end accounting or to facilitate a sale. The resulting valuation figure has major importance for all owners or sellers, but valuations are also prepared for home loan purposes or to help a buyer determine an offer price for a property. A wide variety of information needs to be collected and analyzed both for valuations but also for advisory work (sometimes called “property consultancy”) and a full understanding of the reasons why our clients appoint us to undertake valuations and/or advisory work on their behalf is required. Given that both Valuation and Advisory are such specialized fields aimed at determining the appropriate value and optimal and best use for a property with supporting analysis, it’s more important than ever to contact our professional commercial property advisors at V.G. Diaz & Associates to ensure that you are getting the best advice about your assets!

Industrial properties include manufacturing, warehousing, and distribution centers; however, when people think of industrial properties, they usually think of factories manufacturing things, but the sector also embraces light industrial parks where there may be limited manufacturing, warehouses, logistic centers, even showrooms, and car repair centers. With such a range of property types, as you can appreciate, no matter which industrial sub-sector you are involved in, there needs to be a vast knowledge resource of how best to handle the property in question. But that’s what we are here for, so, whether you are a landlord or tenant, seller or buyer of industrial space, one of our professional commercial property advisors at V.G. Diaz & Associates will be able to provide you service.
